Terms of Service

1. Conclusive Assent; Integration

By creating an account or accessing any part of the Fisca platform, you irrevocably assent to these Terms of Service and our Privacy Policy, which together form the entire agreement governing your use of the Service, superseding all prior communications.

2. Changes to Terms

Fisca may amend these Terms at its discretion, but material changes will be announced 30 days in advance via (a) your registered email and (b) an in-app or website banner. Continued use after the effective date constitutes acceptance of the revised Terms.

3. Service & Service Levels

Fisca provides transaction logging, invoicing, AI-powered analytics, and scheduled maintenance. We target 99.5% uptime per calendar month, excluding scheduled maintenance (with at least 24-hour notice).

4. Description of Furnished Capabilities

Fisca offers: (a) transaction aggregation; (b) invoicing automation; (c) AI-driven budgeting & insights; and (d) customer support modules, as detailed on our features page.

5. Eligibility Prerequisite

Use of the Service is limited to individuals aged 14 years or older in compliance with applicable digital-services age requirements.

6. Account Provisioning and Verification

You must provide a valid email address and your legal name at registration. Access is conditioned upon successful email verification.

7. Subscription Stratification; Recurrence; Reimbursement

• Tiers: Free, Premium, Business, each with distinct features.
• Automatic Renewal: Paid plans auto-renew every 30 days; failed payments revert to Free tier.
• Refunds: Requests accepted within 72 hours of initial activation; thereafter, fees are non-refundable.

8. Data Custodianship & Privacy

We store your data in a credential-gated Supabase database with encryption in transit and at rest. We process personal data according to our Privacy Policy and applicable laws, including GDPR and CCPA. We do not sell or rent your data.

9. Intellectual Property; User-Generated Content

• Provider IP: Fisca retains all rights in the Service and any AI-generated outputs.
• User Content License: You retain ownership of uploaded content but grant Fisca a perpetual, worldwide, royalty-free license to use, reproduce, and display it solely to provide and improve the Service.

10. Limitation of Liability

10.1 Cap on Damages: Fisca's aggregate liability for all claims shall not exceed the total fees paid by you in the 12 months preceding the claim.

10.2 Excluded Damages: Fisca is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or data).

10.3 Essential Purpose: These limits reflect a reasonable allocation of risk integral to your use of the Service.

11. Indemnification Covenant

You agree to indemnify, defend, and hold harmless Fisca, its affiliates, officers, and agents against all liabilities, damages, and expenses arising from your use of the Service or any breach of these Terms.

12. Dispute Resolution; Binding Arbitration

12.1 Arbitration Requirement: Except for small claims court matters, disputes shall be resolved by final and binding arbitration under Kuwait Arbitration Rules, in Kuwait City. Click-wrap consent to these Terms constitutes an enforceable agreement to arbitrate.

12.2 Class-Action Waiver: You and Fisca waive any right to a jury trial or to participate in class, consolidated, or representative actions.

12.3 Arbitrator's Authority: The arbitrator may award individual remedies but may not consolidate claims or preside over class arbitrations.

13. Termination & Data Deletion

13.1 Termination for Breach: Upon material breach, we may suspend or terminate your account if you fail to cure within 10 days' notice.

13.2 User-Initiated Termination: You may delete your account at any time via Account Settings.

13.3 Data Deletion: Deleted accounts and data will be expunged within 30 days, subject to legal retention obligations.

14. Notices

All legal notices must be sent to Fisca's designated email; notice is deemed given upon transmission.

15. Cookies; Tracking Technologies

We use cookies and similar tech to enhance functionality and analytics. By using the Service, you consent to this as described in our forthcoming Cookie Policy.

16. Privacy Policy Reference

17. Severability; Non-Waiver

Invalid or unenforceable provisions shall be severed without affecting the remainder. No waiver is effective unless in writing and signed by an authorized representative.

18. Assignment

You may not assign your rights or obligations under these Terms without Fisca's written consent; any unauthorized assignment is void.
